These Terms govern your use of the Dubrate marketplace at dubrate.com and the Dubrate native apps. Dubrate is operated by Dubrate Ltd, a UK company registered in Bristol. By creating an account you agree to these Terms.
1. Definitions
- Buyer — anyone who purchases a track, pack, subscription, or wallet top-up from Dubrate.
- Seller / Artist— anyone who uploads tracks and accepts payouts through Dubrate's Stripe Connect platform.
- Platform — Dubrate Ltd, the operator of this marketplace.
2. Buyer terms
2.1 What you're buying
A digital download grants you a personal, non-transferable licence to use the recording for the purposes specified below. You do not acquire any copyright, master, or publishing right.
2.2 What the licence covers
- Personal listening on any device you own.
- DJ public performance at venues that hold an appropriate PRS/PPL licence (UK) or local equivalent. You are responsible for ensuring the venue is licensed.
- Local backup copies for your own use.
2.3 What the licence does NOT cover
- Broadcast (radio, podcast, livestream, video).
- Synchronisation with video.
- Public performance at unlicensed venues.
- Redistribution, resale, or further licensing.
- Inclusion in DJ mixes posted to commercial platforms.
2.4 Refunds
UK Consumer Rights Act 2015: digital downloads are exempt from the 14-day cooling-off period once the download has started. You may request a refund within 24 hours of purchase if you have not initiated a download. Email support@dubrate.com.
3. Seller terms
3.1 Rights warranty
By uploading a track, you represent and warrant that you own or control the copyright in the master recording AND the underlying musical work, including any mechanical and performance rights, and that you are authorised to distribute the recording commercially. This attestation is recorded with timestamp, IP address, and user agent at upload time.
3.2 Indemnification
You indemnify Dubrate against any claim, loss, or legal cost arising from breach of your rights warranty. Repeat infringement will result in account termination and forfeiture of pending payouts pending dispute resolution.
3.3 Royalty split + payouts
- Dubrate retains 15% of each sale. 85%goes to the artist's Stripe Connect balance.
- Stripe processing fees (typically 1.4% + 20p in the UK) are paid by the Platform, not flowed through to the artist.
- Payouts are made via Stripe Connect, on a rolling 7-day schedule to the artist's registered bank account.
- Artists are responsible for declaring and paying any tax owed on their income.
3.4 Chargebacks
If a buyer initiates a chargeback that is sustained by their bank, the disputed amount plus any chargeback fees are deducted from the artist's next payout. Repeated unfounded chargebacks may result in account restriction.
4. Subscriptions
Subscriptions are billed monthly or annually in advance. Cancel any time from your dashboard; cancellation takes effect at the end of the current billing period. Any unused rollover credits expire per the tier's rollover schedule.
5. Acceptable use
You agree not to:
- Upload content you do not control rights to.
- Use Dubrate to launder money or commit fraud.
- Scrape the catalogue or attempt to bypass DRM-like measures.
- Use Dubrate from a country subject to UK or US sanctions.
6. Limitation of liability
To the extent permitted by law, Dubrate's liability for any claim arising from your use of the platform is limited to the total amount you paid Dubrate in the preceding 12 months. Nothing in these Terms limits liability for death, personal injury, or fraud.
7. Governing law
These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
8. Changes
We may update these Terms. We'll give 30 days' notice via email for any material change. Continued use of Dubrate after that notice constitutes acceptance.
